These Terms and Conditions govern your use of the website at https://cherry-white.co.uk (the “Website”) and the sale of products through our online shop. Please read them carefully before placing an order. By placing an order, you confirm that you accept these terms.

In these terms, “we”, “us” and “our” refer to Cherry & White Limited, and “you” and “your” refer to the person or business placing an order or using the Website.
Products
We supply networking, connectivity and access infrastructure products, including items such as cabinets and enclosures, fibre cables and connectors, antennas, routers and switches, power and protection devices, and related accessories.
We take care to describe and show our products accurately. Product images are for illustration only and there may be minor variations in colour, finish, packaging or specification between the image and the product supplied. Where a product is supplied with technical specifications provided by the manufacturer, those specifications are provided in good faith, and you are responsible for satisfying yourself that a product is suitable for your intended use before ordering.
Eligibility to buy
You may place an order if you are at least 18 years old and legally capable of entering into a binding contract. Our shop is available to both business customers and consumers. Some of our products are intended for installation or use by suitably competent or qualified persons, and you are responsible for ensuring that any product you buy is installed and used safely and lawfully.
How a contract is formed
Placing an order works as follows:
- You select the products you want, add them to your basket, and follow the on-screen prompts to place your order.
- After you place your order, we will send you an acknowledgement email confirming that we have received it. This acknowledgement does not mean your order has been accepted.
- A binding contract is formed only when we send you an email confirming that your order has been accepted or that it has been dispatched.
If we are unable to accept your order, for example because a product is out of stock, because of an error in the price or description, or because we cannot supply to your location, we will let you know and will not charge you, or will refund any payment already taken.
Prices and VAT
Prices are shown in pounds sterling (GBP). Unless stated otherwise, prices are exclusive of VAT, and any applicable VAT will be added and shown before you complete your order. Delivery charges are shown separately and added to the order total at checkout.
We take care to ensure prices are correct, but errors can occur. If we discover an error in the price of products you have ordered, we will contact you as soon as possible to let you know and to ask whether you wish to continue at the correct price or cancel the order. If we cannot reach you, we will treat the order as cancelled and notify you.
Payment
Payment is taken at the time of purchase through our secure online checkout. We accept the payment methods shown at checkout. Payments are processed by our third party payment provider, and your card and payment details are handled securely by that provider. We do not store full card details on our systems.
You confirm that the payment method you use is your own or that you are authorised to use it. If payment is not received or is declined, we are not obliged to fulfil your order.
Delivery
We deliver to addresses within the United Kingdom. Delivery timescales and charges are shown at checkout and are estimates only. While we make every effort to meet estimated delivery dates, we are not responsible for delays caused by circumstances outside our reasonable control.
If you are ordering for delivery outside the United Kingdom, please contact us before ordering.
Risk and ownership
Risk of damage to or loss of the products passes to you on delivery to the address you provided. Ownership of the products passes to you only when we have received payment in full for the products and any delivery charges.
Cancellation, returns and refunds
Your rights to cancel, return items and receive refunds are set out in our Returns and Refunds Policy, which forms part of these terms. Please refer to that policy for full details, including timescales, conditions and how to arrange a return.
If you are a consumer, you may have a statutory right to cancel certain orders under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, as explained in the Returns and Refunds Policy.
Faulty products and your legal rights
If you are a consumer, the Consumer Rights Act 2015 gives you legal rights in relation to products that are faulty, not as described, or not fit for purpose. These rights are not affected by our Returns and Refunds Policy or by anything else in these terms.
If you are a business customer, we warrant that on delivery the products will conform in all material respects with their description and be free from material defects in materials and workmanship. Manufacturer warranties, where they apply, are provided in addition, and we will pass on the benefit of any such warranty where we are able to do so. Nothing in these terms is intended to exclude or limit any liability that cannot be excluded or limited by law.
Availability of the Website
We try to keep the Website available at all times, but we do not guarantee that it will always be available or uninterrupted. We may suspend, withdraw or restrict all or part of the Website for business or operational reasons, and we will try to give you reasonable notice where we can.
Acceptable use
You agree to use the Website only for lawful purposes. You must not use the Website in any way that is unlawful or fraudulent, misuse the Website by knowingly introducing viruses or other harmful material, or attempt to gain unauthorised access to the Website, the server on which it is stored, or any connected server, computer or database.
Intellectual property
The content on the Website, including text, graphics, logos, images, product descriptions and the Cherry & White name and branding, is owned by or licensed to us and is protected by intellectual property laws. You may not copy, reproduce, republish or exploit any content from the Website without our prior written permission, except as permitted for your own personal or internal business use in connection with an order.
Our liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
Subject to the above, and if you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of us breaking these terms or failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable.
If you are a business customer, we exclude, to the fullest extent permitted by law, all implied terms, and we will not be liable for any loss of profit, loss of business, business interruption, or loss of anticipated savings. Our total liability to a business customer in connection with an order, whether in contract, tort (including negligence) or otherwise, is limited to the price paid for the products in question.
Events outside our control
We are not responsible for any failure or delay in performing our obligations where that failure or delay results from events outside our reasonable control, including but not limited to strikes, failure of utilities or transport networks, acts of government, or supply chain disruption. Where such an event occurs, we will contact you as soon as reasonably possible and take steps to minimise the effect of the delay.

Governing law and jurisdiction
These terms and any dispute or claim arising out of or in connection with them are governed by the law of England and Wales. If you are a consumer, you may bring proceedings in the courts of the part of the United Kingdom in which you live. If you are a business customer, the courts of England and Wales have exclusive jurisdiction.
